1. Acceptance of Terms

By accessing or using ShareABuild.com (“the Service”), owned and operated by Vanguard Media LLC, headquartered in Fort Smith, Arkansas, you agree to these Terms of Service (“TOS”). If you do not agree, discontinue use of the Service immediately.

2. Description of Service

ShareABuild.com provides a platform for users to publish, share, and collaborate on electronics projects. The Service is offered "as-is" and "as-available," without any warranties, expressed or implied.

3. User Accounts

Users must create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities under your account.

4. Content Ownership and Submission of Project Templates

By submitting a project template (“Template”) to ShareABuild.com, you grant Vanguard Media LLC an irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, distribute, market, display, and create derivative works from the Template at Vanguard Media LLC’s sole discretion, without compensation. You represent and warrant that you own all rights to your Template and indemnify Vanguard Media LLC against any claims arising from its use.

5. Prohibited Conduct

You agree not to use the Service for any unlawful activities, including but not limited to:

• Posting harmful, defamatory, or obscene content.
• Engaging in fraudulent activities or impersonating others.
• Violating intellectual property rights.
• Introducing malicious code or disrupting the Service.

6. Limitation of Liability

Vanguard Media LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the Service, including but not limited to loss of data, profits, or business opportunities.

7. Indemnification

You agree to indemnify and hold harmless Vanguard Media LLC, its affiliates, employees, and agents from any claims, damages, or expenses arising from your use of the Service or the content you submit.

8. Arbitration Agreement

Any disputes shall be resolved exclusively through binding arbitration in Sebastian County, Arkansas, per the rules of the American Arbitration Association. You waive the right to participate in a class action lawsuit or class-wide arbitration.

9. Termination

Vanguard Media LLC reserves the right to terminate your access to the Service for any reason, at any time, with or without notice.

10. Governing Law

These TOS are governed by the laws of the State of Arkansas, United States. Any disputes shall be resolved exclusively in the courts of Sebastian County, Arkansas.

11. Changes to Terms

Vanguard Media LLC reserves the right to update these TOS at any time. Continued use of the Service after changes constitutes your acceptance of the revised terms.
